Org Subscription Agreement

This Org Subscription Agreement (the "Agreement") is entered into between Friar Tek, LLC, a Georgia limited liability company that operates the Cloth Goblin brand, website, and mobile applications ("Cloth Goblin," "we," or "us"), and the organization identified in your signup form ("Organization," "you," or "your"). By clicking "I agree," the natural person named as the Authorized Signer in your signup form (the "Signatory") confirms that they are authorized to bind the Organization, that the name and title they provided are accurate, and that they have read and accept all of the following terms on the Organization's behalf.

1. Subscription & Billing

Cloth Goblin grants your Organization a non-exclusive, non-transferable license to use the Org Dashboard and have your store(s) listed on the Cloth Goblin map for so long as your subscription is in good standing.

Subscriptions renew automatically each month until canceled. You may cancel at any time from the "Cancel Subscription" control on your Cloth Goblin Account page, or by emailing support@clothgoblin.com. Cancellations take effect at the end of the current billing period; we do not issue pro-rated refunds for partial months.

Payments are processed by our payment provider (currently Stripe). You authorize us to charge the payment method on file for the recurring subscription amount plus any applicable taxes.

2. Accurate Information & Ownership

You represent that you are an authorized owner, operator, or designated representative of the brick-and-mortar or online business you are registering, and that all information provided about the business — including legal name, locations, contact email, and website — is accurate and truthful.

If Cloth Goblin determines that your Organization is not who it claims to be, the information is materially false, or the business is not operational at the locations listed, we may suspend or terminate your subscription without refund.

3. 60-Day Review Window

All new Organizations enter a 60-day review window after approval. During this window, Cloth Goblin may review your public business profile, verify ownership, and confirm that your Organization is operating in good faith. We may contact you for additional documentation such as a business or trade license (or its local equivalent), a utility bill, a lease agreement, a nonprofit or charity registration document, a Google Business Profile verification, or comparable proof issued by your country's authorities.

At the end of the review window we will either (a) pass your review and continue your subscription normally, or (b) fail your review and suspend your account. Failed reviews receive a written explanation by email. You may submit an appeal with additional paperwork within 30 days of a failed review; if granted, you will enter a short 30-day follow-up review window.

4. Acceptable Use

You agree not to use the Cloth Goblin platform to: (a) impersonate another business or person; (b) post misleading, deceptive, or unlawful content; (c) harass, threaten, or discriminate against other users; (d) scrape, reverse-engineer, or otherwise interfere with the platform; or (e) use the platform to send spam, unsolicited advertising, or bulk messages in violation of CAN-SPAM, CASL, GDPR, or any other applicable law.

Cloth Goblin may remove content, suspend features, or terminate your subscription at any time if we reasonably determine that you have violated these Acceptable Use terms.

5. Content You Provide

You retain ownership of content you upload (e.g., logos, photos, descriptions, intake preferences). You grant Cloth Goblin a worldwide, royalty-free license to host, display, and distribute that content on the Cloth Goblin platform and in related marketing materials for so long as your Organization is listed.

You represent that you have the right to upload each piece of content and that it does not infringe any third party's copyright, trademark, or other rights.

6. Communications with Thrifters

Cloth Goblin may send notification emails and in-app pings on your behalf to thrifters who have explicitly opted in (for example, by tapping "Subscribe for pings" on your location). You may not use these notification systems for mass marketing unrelated to your business operation, and you may not export, resell, or otherwise share the email addresses or identities of subscribed thrifters.

Cloth Goblin does not share thrifter personal data with your Organization. Subscriber counts and aggregated demand data are provided for your planning purposes only.

Violation of this section — including any attempt to scrape, extract, enrich, or cross-reference thrifter identities from the platform — may constitute a material breach of this Agreement and may also expose your Organization to liability under applicable privacy statutes. These include, without limitation, the California Consumer Privacy Act (CCPA/CPRA), the California Delete Act (Cal. Civ. Code §1798.99.80), other US state privacy laws (Virginia's VCDPA, Colorado's CPA, Connecticut's CTDPA, Texas's TDPSA, Oregon's OCPA, and comparable state regimes), the EU and UK General Data Protection Regulation (GDPR), Canada's PIPEDA and provincial equivalents, Brazil's LGPD, Australia's Privacy Act 1988, Japan's APPI, South Korea's PIPA, Singapore's PDPA, India's DPDP Act, and any other applicable data protection or consumer privacy law in the jurisdictions in which your Organization operates or collects personal information.

7. Intellectual Property

The Cloth Goblin name, logo, goblin mascot artwork, app design, and underlying software are the exclusive property of Friar Tek, LLC (operator of the Cloth Goblin brand). You receive no ownership rights by virtue of this Agreement. You may refer to your Cloth Goblin listing in your own marketing materials, but you may not imply that Cloth Goblin endorses, sponsors, or certifies your business beyond what is plainly stated on the platform.

8. Limitation of Liability

To the maximum extent permitted by law, Cloth Goblin's total liability to your Organization arising out of or relating to this Agreement shall not exceed the total amount you paid to Cloth Goblin in the twelve (12) months preceding the claim. Cloth Goblin is not liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, lost data, or business interruption, even if advised of the possibility of such damages.

The platform is provided on an "as is" and "as available" basis. We do not warrant that the platform will be uninterrupted, error-free, or free of harmful components.

9. Termination

Either party may terminate this Agreement at any time by canceling the subscription. Cloth Goblin may also terminate or suspend your Organization's access immediately if we reasonably determine that you have breached this Agreement, failed our 60-day review, or engaged in conduct that could expose Cloth Goblin, its users, or its partners to legal or reputational harm.

Sections that by their nature survive termination — including Sections 5 (Content You Provide), 7 (Intellectual Property), 8 (Limitation of Liability), and 10 (General) — shall survive.

10. General

This Agreement is governed by the laws of the State of Georgia, United States, without regard to its conflict-of-laws principles. Any dispute arising out of or relating to this Agreement shall be brought exclusively in the state or federal courts located in Fulton County, Georgia, and you consent to personal jurisdiction there.

This Agreement binds and benefits the parties and their respective successors and assigns. Any sale, transfer, merger, corporate restructuring, change of control, or change of authorized representative of the Organization will not terminate this Agreement; the successor entity or new authorized representative will be bound by all terms as if they were the original Signatory. The Organization shall notify Cloth Goblin in writing at support@clothgoblin.com within thirty (30) days of any such change, including any change to the Organization's business contact email or authorized representative. Cloth Goblin may, in its discretion, require re-verification of Organization ownership under Section 3 (60-Day Review Window) at that time, including submission of an updated verification document.

This Agreement, together with the Cloth Goblin Privacy Policy and any order or plan page you accept at signup, constitutes the entire agreement between the parties regarding its subject matter and supersedes all prior understandings.

If any provision of this Agreement is held to be unenforceable, the remaining provisions will remain in full force and effect. Our failure to enforce any right is not a waiver of that right.

Cloth Goblin may update this Agreement from time to time by publishing a new version with an updated effective date. Continued use of the platform after a new version is published constitutes acceptance; if the change is material, we will prompt you to explicitly re-accept through your Org Dashboard before any further paid services are provided.
